1. Background

The Ministry of Corporate Affairs (MCA) has announced a major restructuring of its Regional Directorates (RDs) under the Companies Act, 2013, aimed at strengthening corporate administration and improving regulatory outreach across India.

This move replaces the earlier structure notified in 2015 and reflects the Government’s continued efforts to promote efficient governance, speedier adjudication, and enhanced regional accessibility for companies.

2. Key Change – Expansion from 7 to 10 Directorates

Under the revised framework, the number of Regional Directorates has been increased from seven to ten.

The restructuring seeks to decentralise administrative responsibilities and ensure balanced workload distribution across regions.

3. Locations of the New and Existing Regional Directorates

The 10 Regional Directorates will now be headquartered at:

  1. New Delhi
  2. Chandigarh
  3. Ahmedabad
  4. Mumbai
  5. Navi Mumbai
  6. Chennai
  7. Bengaluru
  8. Kolkata
  9. Guwahati
  10. Hyderabad

Each Directorate will oversee company-related administration, including matters such as:

  • Incorporation and regulation of companies,
  • Supervision of Registrar of Companies (RoCs) under its jurisdiction,
  • Adjudication and compounding proceedings, and
  • Other functions delegated under the Companies Act, 2013.

4. Effective Date and Supersession of Earlier Notification

The revised regional structure will come into effect from 1 January 2026.

This notification supersedes the earlier 2015 notification, thereby establishing the new administrative boundaries and jurisdictions for the ten Regional Directorates.

5. Objective and Expected Impact

The restructuring is intended to:

  • Enhance regulatory efficiency and ensure faster disposal of company law matters,
  • Improve coordination between RDs and field offices such as RoCs,
  • Facilitate ease of doing business through improved accessibility, and
  • Strengthen corporate governance by ensuring region-specific oversight and responsiveness.

6. Conclusion

By increasing the number of Regional Directorates from 7 to 10, the MCA has taken a significant step toward decentralised corporate regulation.

The new structure, effective 1 January 2026, is expected to make the administration of company law more agile, regionally balanced, and business-friendly.
