A listed company sought SEBI’s informal guidance on whether unlisted subsidiaries must identify related parties as per Reg. 2(1)(zb) or other laws. SEBI clarified that unlisted subsidiaries of listed entities must identify ‘related parties’ and ‘related party transactions’ as per LODR Regulations. Further, under Reg. 2(1)(zc), transactions between a subsidiary and its related party, or the holding listed entity’s related party, are considered ‘related party transactions’ under LODR Regulations.
