MCA revises Form MGT-3; enhances disclosure w.r.t. ‘foreign register’ maintained by Cos.

The MCA has notified the Companies (Management and Administration) Rules, 2023. Under the extant norms, if so authorized by its article, companies may keep a “foreign register” containing names and particulars of members, debenture-holders, e.t.c. residing outside India. The company is also required to file Form MGT-3 with ROC within 30 days from the date of Notice of situation of office/Change of situation/discontinuation of office.
Now, the MCA has enhanced the disclosures to be made in Form MGT-3. Thus, greater disclosures relating to Notice of situation of office/Change of situation/discontinuation of office where a foreign register is kept is to be given.
